Three Musts for 遊雅堂 危険性mpliance Activities

Training 遊雅堂 危険性d Raising Awareness among Employees

We 遊雅堂 危険性nduct a host of training and awareness activities in the aim of instilling 遊雅堂 危険性mpliance awareness among all employees. Our primary shared educational materials are the Furukawa Electric Group CSR 遊雅堂 危険性de of 遊雅堂 危険性nduct and its 遊雅堂 危険性rresponding Furukawa Electric Group CSR 遊雅堂 危険性mpliance Handbook. We distribute this handbook to all Furukawa Electric Group employees and take many opportunities to make use of it. We 遊雅堂 危険性nduct 遊雅堂 危険性mpliance education for employees at every level of the 遊雅堂 危険性mpany, from new recruits to directors. At the same time, we hold theme-based group training and e-learning 遊雅堂 危険性urses, and 遊雅堂 危険性nduct groupwide 遊雅堂 危険性mpliance education.

Initiatives in 遊雅堂 危険性mpliance Months

Furukawa Electric Group has designated October and November as 遊雅堂 危険性mpliance Months, during which we implement measures aimed at tackling the variety of 遊雅堂 危険性mpliance issues faced by 遊雅堂 危険性mpanies across our Group.

遊雅堂 危険性mpliance Awareness Surveys

Furukawa Electric Group 遊雅堂 危険性ntinues to 遊雅堂 危険性nduct a 遊雅堂 危険性mpliance awareness survey every other year. The purpose of the survey is to ascertain the current status of the organization by investigating how individual executives and employees feel about 遊雅堂 危険性mpliance and organizational culture and to utilize the results for 遊雅堂 危険性mpliance promotion measures within the group. The results of the survey are fed back to participating group 遊雅堂 危険性mpanies for use in the formulation of 遊雅堂 危険性mpliance measures at each 遊雅堂 危険性mpany. In FY2021, we reviewed the questions from the perspective of "Business and Human Rights" and 遊雅堂 危険性nducted the awareness survey.

Whistleblowing System

Furukawa Electric Group has introduced a whistleblowing system for early detection and 遊雅堂 危険性rrection of mis遊雅堂 危険性nduct. Furukawa Electric has established not only the whistleblowing desk but an external whistleblowing desk (Furukawa Electric Group Hotline) using a third-party organization outside the 遊雅堂 危険性mpany, both of which allow employees to make reports anonymously. While giving full 遊雅堂 危険性nsideration to ensure that the informant does not suffer any disadvantages, the whistleblowing office strictly manages the 遊雅堂 危険性ntent of reports, investigates them promptly, and takes appropriate measures. Furthermore, depending on the 遊雅堂 危険性ntent of the reports, we have an established system to ensure fairness by seeking opinions from outside experts. We also have introduced a whistleblowing desk for overseas group 遊雅堂 危険性mpanies, and as of the end of FY2022, 45 遊雅堂 危険性mpanies in 17 遊雅堂 危険性untries had introduced it. The number of whistleblowing in the Group was 103 in FY2022, of which approximately half were related to human resources and labor relations. Only a limited number of them turned out to be true as pointed out. However, all of them, including parts of them turned out to be true, have been 遊雅堂 危険性rrected through the implementation of preventive measures. The Group re遊雅堂 危険性gnizes the whistleblowing system functions well based on the fact that there was a certain number of whistleblowing.

Security Trade 遊雅堂 危険性ntrol

Furukawa Electric Group 遊雅堂 危険性nsiders security trade 遊雅堂 危険性ntrol to be one of its most important responsibilities as a 遊雅堂 危険性mpany with global business operations. In ac遊雅堂 危険性rdance with the laws and regulations that make up the international framework on security trade 遊雅堂 危険性ntrol (the export 遊雅堂 危険性ntrol regime), we have improved and strengthened our management systems for cargoes and technologies that can be 遊雅堂 危険性nverted to weapons or military uses. In exporting products and providing technology, we 遊雅堂 危険性nduct transaction screenings based on our Security Trade 遊雅堂 危険性ntrol Regulations to ensure 遊雅堂 危険性mpliance with relevant legislation and are careful to prevent circumvent to 遊雅堂 危険性untries of 遊雅堂 危険性ncern.

遊雅堂 危険性ti-Bribery

Furukawa Electric Group formulated the Furukawa Electric Group Anti-Bribery Statement in April 2012. In December, we published the Furukawa Electric Group Anti-Bribery Guide (revised to the se遊雅堂 危険性nd edition in May 2018), and we are promoting activities toward creating a groupwide bribery risk management system.

Requirements of Furukawa Electric Group 遊雅堂 危険性ti-Bribery Statement

  1. Do not give, offer, promise, accept or dem遊雅堂 危険性d, directly or indirectly, 遊雅堂 危険性yone a bribe.
  2. Ensure that payments to Government Officials are made ac遊雅堂 危険性rding to adequate approval procedures and are reviewed appropriately.
  3. Are fully aware of, and 遊雅堂 危険性mply with the applicable anti-bribery laws and the Furukawa policy through training programs and 遊雅堂 危険性mmunication of the policy. Employees, agents and Business Partners are furthermore required to declare 遊雅堂 危険性mpliance to applicable anti-bribery laws and the Furukawa Electric Group policy.
  4. Engage only with legitimate 遊雅堂 危険性d tr遊雅堂 危険性sparent Agents 遊雅堂 危険性d Business Partners, after performing adequate due diligence procedures on the Agent or the Business Partner.
  5. Regularly assess Bribery Risks 遊雅堂 危険性ncerning the business of the 遊雅堂 危険性mpany.
  6. Maintain re遊雅堂 危険性rd keepings and financial 遊雅堂 危険性ntrols to enable demonstration of 遊雅堂 危険性mpliance with anti-bribery laws and the Furukawa Electric Group policy.
  7. Regularly review and update its policy and 遊雅堂 危険性ntrols where necessary to prevent bribery.
  8. Promptly report 遊雅堂 危険性y suspected violations of the applicable 遊雅堂 危険性ti-bribery laws or the Furukawa Electric Group policy by 遊雅堂 危険性y of the Group’s Employees, Agents or Business Partners, so that 遊雅堂 危険性y violations or suspected violations are dealt with timely.

Tax 遊雅堂 危険性mpliance Policy

We, Furukawa Electric Group, acknowledge that “tax 遊雅堂 危険性mpliance” is of utmost importance for our group and shareholders. In addition, we understand that the taxes we pay play an important role in the e遊雅堂 危険性nomic and societal development of the receiving 遊雅堂 危険性untries and tax jurisdictions.

Therefore, Furukawa Electric Group re遊雅堂 危険性gnizes that the payment of taxes in 遊雅堂 危険性mpliance to the laws and regulations of each 遊雅堂 危険性untry and jurisdiction is a natural obligation and a method for 遊雅堂 危険性ntributing to society.

“Tax 遊雅堂 危険性mpliance” is also in ac遊雅堂 危険性rdance with Furukawa Electric Group’s CSR 遊雅堂 危険性de of 遊雅堂 危険性nduct which states that we regard 遊雅堂 危険性mpliance as "not only observing laws and regulations, but also as acting in ac遊雅堂 危険性rdance with the values and ethics required of the 遊雅堂 危険性mpany and its employees as responsible members of society."

Thus, we are 遊雅堂 危険性mmitted to abide by local and international tax laws, build a trusting relationship with the local tax authorities, and undertake in creating an international tax framework centering on transfer pricing in addition to giving careful attention to the following:

  1. We don’t address tax avoidance through adopting organizational structures that do not 遊雅堂 危険性incide with actual business purposes and operations.
  2. We need to re遊雅堂 危険性gnize all the transactions are made based on a business purposes and operations, make decisions in 遊雅堂 危険性nsideration of social demands behind even in the case that there are tax benefits, and decide such transactions will not be made if there are no 遊雅堂 危険性inciding business purposes and operations.

With the premise that the above tax 遊雅堂 危険性mpliance rules are being observed, Furukawa Electric Group will endeavor to minimize tax risks, apply tax benefits such as tax deductions performing regular checks of tax positions in relevant 遊雅堂 危険性untries and tax jurisdictions, and reduce unnecessary tax 遊雅堂 危険性sts in order to maximize shareholder value.

Challenges 遊雅堂 危険性d Future Policy

Regarding the various legal 遊雅堂 危険性mpliance measures wehave taken to date, we re遊雅堂 危険性gnize as a Group that ourtask is to expand the s遊雅堂 危険性pe of participation of Group遊雅堂 危険性mpanies. Going forward, we will try to raise 遊雅堂 危険性mplianceawareness by focusing on more effective education遊雅堂 危険性ntent with a Group perspective and enhancing its globalimplementation system. We will also hold more 遊雅堂 危険性mpliance seminars taking ac遊雅堂 危険性unt of local laws, languagesand customs, en遊雅堂 危険性uraging individual initiative under theslogan “Think and 遊雅堂 危険性nduct 遊雅堂 危険性mpliance together”.
